I am setting up at new shop and would like to add a registration code for new users that is trying to make an account in the shop.
It should be a requierd field with a preset "password" to get access to the shop.

This shop is not going to be public, its for contract customers.

How can I do this in a simple manner.
Also, prices should only be visible for logged in users and the checkout is only for logged in users aswell(but thouse functions is build in to OC if I am not misstaken).

How exactly do you want to send registration code? If by email, then it quite easy to implement. Yet if you want to send it by phone, then you also need to make a contact with your cell company.

The code is preset and is sent to the customer manully prior to registration.
So the code should allready exist and not be sent out.

If you preset the code so apparently it is saved in the database to be checked upon registration. If you manage to do this, it shouldn't be too hard for you to add an extra field to registration form and check for this code. Not sure which kind of help you need if you already did half of the job yourself.

Since Opencart can also handle products categorically, better to authenticate your products by categories with an extension rather than covering the whole site for your contractors vs. VIP members which can also reflect prices based on customer groups whereas the core also handles. I would suggest to look on the Marketplace for these criteria.
