I am 99% i know this answer is "yes," but just to be sure...It doesn't call on anything over the net does it? it is all on server, right? So everything is fine if opencart doesn't exist one day???

that is correct. once it's installed on your server it has no reliance on or calls to opencart.com

Great! what about updates? customizing some php/mysql now. I am sure an update would undo all my work. Is it safe to just NOT update?

Like anything else, usergroups remain open supporting products that are no longer available or written by the original developer/manufacturer. I recall a guy supporting OS/2 several years after IBM stopped support. :)

It's recommended to use vQmod for changes, which will prevent them being overwritten by an upgrade.
