They are actually very different
Magento has alot more features "out-of-the-box" than Open Cart BUT, BUT, BUT
In my opinion, Magento is alot more complicated and alot more resource hungry
I would choose Open Cart for a small site and Magento for a large huge site or if I was a developer deploying multiple sites for my clients.
I left Magento because it runs slower than my pet snail and I don't consider paying for a dedicated server to be cost effective for my size. Maybe when I'm turning over 10million a year, I'll take another look at Magento
Out of the box, Magento wins hands down. But open the box and it's so scary, I ran all the way to Open Cart

Some considerations:cms2008 wrote: one is opencart. another is Magento. they are almost same. i don't know which one is better?
1. Magento requires a fast host like Simplehelix which has been optimised for Magento. This host costs loads more than than your average host that can host Opencart. I'm testing Heliohost.org which is a free host more than capable to look after Opencart.
2. Magento requires lots of time to understand and modify the layout.
Try out Opencart on a free hosting account and see if it's what you need.

Be careful with free hosts. I just popped over to Helio and on their news, it says:adam777 wrote: I'm testing Heliohost.org which is a free host more than capable to look after Opencart.
A 2 week downtime is alot more expensive that a year's webhostingAfter a two week downtime, HelioHost is now back online! All users' files, data, and settings have been preserved during the downtime.
Still, if your site is not serious, then free is good but if your site is serious, 2 weeks screaming is stressful

On a more serious note...

hm2k, I agree with your comments about the other carts.
They also failed my approval
I also see you put storesprite in your comments. I didn't like anything about Storesprite
Silverstripe looks interesting though. I might check it out one day if I need a second cart

But Silverstripe is a CMS natively, not a cart. I guess you can add cart abilities like Wordpress, joomla, and the rest have done.
tbh.. silverstripe looks like another run-of-the-mill wordpress clone

You know, I'm a big OpenCart fan, its very easy to understand. The code is written by someone other than the typical code monkey pumping out spaghetti so I enjoy working with it. That being said, I just looked at Magneto and it's checkout process is exactly what I would call optimal. Would be nice if someone found the time to port it here.
