UPGRADING TO LATEST OPENCART FROM 2.0.2.0

If i was to make this update would it be a disaster?

"Latest" being 4.x? If so probably don't want to do that.
To 3.0.3.8 maintenance branch, not too bad but you need to verify all your OCMOD's and extensions.

What if it was brand new from scratch? Could my backed up db be ok imported and all the images?

Just so you know CAPS online is considered shouting.

OC4 is not ready for live sites.
OC3 is in Twig
OC2 is in php

If you install OC3 from scratch you will be able to import your database with some minor modifications.
Your images are files - the connection to the product is stored in the database
Make a back up of your site first both files and database
Any OCMODS / VQMODS that are written for OC2 may be an issue for OC3

If you want to do this yourself why not set up a test site - install OC3, import the files, make the necessary edits to the sql so you can import it to OC3
Install the modifications and fix them one by one.

Once the test site works without issue you can transferr it to the live site
This way you will not have any downtime.
