My server php_version is 5.2.10 with the suhosin patch installed
with register_global = on,
magic_quote_gpc = on,
Is there any chance that opencart script runs ok ?
I get heap overflow whenever the startup.php script runs and get to the "start_session" call.

Anyway I have encounter a bug the was reported using php version 5.2.10 and suhosin patch

I have downgraded my server back to php 5.2.9 and all works fine

I have only found this documentation that recommend a downgrade as an option,
I guess that the problem is with the suhosin patch matching to php 5.2.10
the patch treats session_start as an attacker attempt and as a result causes a heap overflow.
When I will come up with a better idea I will post it meanwhile the downgrade is my chosen option.
